UPON the Part 8 Claim Form issued on 21 October 2017

AND UPON the parties having agreed to the terms of this Consent Order

IT IS HEREBY ORDERED THAT:

1. The Claim is withdrawn and hereby closed on the basis that the parties have agreed to settle their dispute and release and forever discharge all actions and claims that each party has against the other party in relation to the Claim

2. The First Defendant shall close the escrow account and release the escrow shares to the Claimant.

3. There shall be no order as to costs.
